Senior Corporate & Real Estate ParalegalLocation: San Francisco Bay Area (Hybrid)
Compensation: $98,000 - $135,000 annually DOE
LHH Recruitment Solutions is seeking a
Senior Corporate & Real Estate Paralegal on behalf of a confidential Am Law firm. This position supports sophisticated corporate, finance, venture capital, and commercial real estate transactions. The ideal candidate will have
7+ years of relevant law firm experience, strong tenure, and a demonstrated history of supporting complex transactional matters.
Responsibilities- Support corporate, finance, and real estate transactions from due diligence through closing and post-closing.
- Prepare and maintain corporate governance documents, entity formations, annual filings, qualifications, dissolutions, and compliance records.
- Manage corporate records, capitalization tables, equity incentive plans, and related documentation.
- Prepare and file UCC financing statements, amendments, continuations, and terminations.
- Conduct and review UCC, lien, and litigation searches.
- Support commercial real estate transactions, including title review, deeds, transfer documents, recordings, and due diligence.
- Maintain minute books, corporate records, and transaction databases.
- Coordinate with governmental agencies, filing services, title companies, and third-party vendors.
- Create organizational and ownership structure charts and assist with other practice support functions as needed.
Qualifications- Minimum 7 years of corporate, finance, and/or commercial real estate paralegal experience in a law firm environment required
- Strong experience with corporate governance, entity management, and transactional support.
- Experience with UCC filings and corporate compliance matters.
- EDGAR experience required; Carta experience is a plus.
- Exceptional attention to detail, organizational skills, and ability to manage multiple priorities.
- Strong written and verbal communication skills.
- Bachelor's degree preferred.
- Notary commission, or ability to obtain one, preferred.
